Acceptance and definitions
These Terms of Use ("Terms") are a contract between you and Bido, Inc., a Delaware C Corporation (file number 10712575), headquartered at 2 Marina Blvd, Bldg B, Suite 300 N., San Francisco, CA 94123, USA ("Bido", "we"). By interacting with Bido on any channel or using any of our products, you represent that you have read, understood and accepted these Terms and the Privacy Policy.
For the purposes of these Terms:
- "Service" — Bido's set of products: conversational shopping assistant, AI-assistant integrations (MCP), universal checkout and website;
- "Channels" — the surfaces where the Service is offered: WhatsApp, Instagram, SMS, iMessage, AI agent platforms (via MCP) and the web;
- "Agent" — Bido's automated system that interprets your instructions and executes them (offer recommendation, navigation and purchase completion);
- "Merchant" — the third-party store, reachable by URL, where the purchase is actually made;
- "Agentic Purchase" — the purchase the Agent executes on the Merchant's website on your behalf, upon your instruction and confirmation;
- "Integrator" — a third-party platform that uses Bido's API to offer checkout to its own users.
If you use the Service through an Integrator or an AI assistant platform, those platforms' terms also apply to your relationship with them.
Eligibility and account
To use the Service — especially Agentic Purchases — you must be 18 or older and have full legal capacity. By using the Service, you represent that you meet these requirements.
Some features require a Bido account, which is single and valid across all Channels. You are responsible for keeping your credentials confidential and for all activity performed with them. Notify us immediately (bellujrb@usebido.com) of any unauthorized use.
The information you provide (name, shipping address, contact details) must be true, accurate and current — it is used to place real orders with Merchants.
The Service
3.1. Offer recommendations
Bido interprets your purchase intent and recommends coupons, promotions and products from partners and stores in general. Recommendations are suggestions, not financial or consumer advice: prices, stock and conditions are set and may be changed by the Merchant at any time.
3.2. Universal checkout
When you request it, the Agent resolves the total cost of the purchase (item + shipping + taxes) directly on the Merchant's website and presents that amount for your approval. No payment is executed without your explicit confirmation of the total cost. After confirmation, the Agent completes the order at the Merchant's own checkout.
3.3. Availability
The Service depends on third-party platforms (Meta, Apple, carriers, AI agent hosts) and on Merchants' infrastructure. We use commercially reasonable efforts to keep the Service available, but it is provided without a guarantee of continuous availability and may be changed, suspended or discontinued on any Channel, with notice when reasonably possible.
Agentic purchase authorization (mandate)
By requesting and confirming an Agentic Purchase, you grant Bido a limited agency authorization specific to that transaction to, on your behalf and for your account:
- Access and navigate the Merchant's website to add the product to the cart and drive the checkout;
- Fill in your identification data and shipping address on the Merchant's form;
- When the Merchant does not offer guest checkout, create and operate an account at the Merchant on your behalf, with your real name and address and a system e-mail managed by Bido — including receiving and using verification codes sent to that e-mail;
- Submit payment with your instrument (tokenized card), for the total amount you approved;
- Track order confirmation and receive the corresponding transactional e-mails.
The mandate is limited to the approved amount and the confirmed transaction. The Agent never decides to buy on its own, never exceeds the approved amount, and never accesses your full card data (see §5).
You represent that the data provided is yours (or that you are authorized to use it), and you acknowledge that the order is yours: the purchase agreement is entered into between you and the Merchant. Bido acts exclusively as your mandatary in executing the checkout.
If a confirmed purchase cannot be completed (e.g., product out of stock, payment failure, Merchant block), the transaction is closed without charge — and if a charge occurs without a confirmed order, the amount is refunded.
Payments
- Card — card data is collected and encrypted directly into the Basis Theory vault (PCI DSS Level 1). Bido receives only a token identifier; the full card number never passes through our servers, logs or AI models. Payment is submitted at the Merchant's own checkout, which processes it on its own provider;
- 3DS / bank authentication — when the issuing bank requires it, you approve the purchase directly with your bank (e.g., app push). The purchase only proceeds after your approval;
- Saved card — you may choose to save your card (in token form) for future purchases and remove it at any time.
Bido is not a financial institution, does not hold funds, is not an acquirer or issuer, and is not the seller (Merchant of Record) of the products. The Merchant remains the seller and processes the payment on its own provider.
The Merchant's role — delivery, returns and warranties
The purchase agreement is between you and the Merchant. The following are the Merchant's responsibility, under applicable consumer law and its own policies:
- Price, stock, description and quality of the product;
- Invoicing, delivery and deadlines;
- Exchanges, returns, withdrawal rights and legal warranty;
- Payment processing and any refunds for the order.
Bido assists you in reaching the Merchant when something goes wrong with an order we executed (including by using the operational account created for the purchase), but does not replace the Merchant's obligations. For the checkout execution itself — a charge that deviates from the amount you approved, a form-filling error of ours — the responsibility is ours (§10).
Coupons, offers and Bido's compensation
- Coupons and promotions are created and maintained by Merchants/partners and may expire, change or be cancelled without notice. We do not guarantee that a recommended coupon will be accepted at checkout;
- Transparency: Bido may receive affiliate commission or partner compensation when you click an offer or complete a purchase. This does not change the price you pay;
- Recommendation ranking considers relevance to your intent; a commercial partnership does not guarantee placement.
Use on third-party platforms
The Service is offered inside platforms we do not control — WhatsApp and Instagram (Meta), iMessage (Apple), SMS (carriers) and AI assistants (Anthropic, OpenAI and similar). When using Bido in these environments:
- The platform's terms and policies also apply to you;
- Your conversation with the AI assistant is processed by the assistant's platform, not by Bido (see Privacy Policy, §5);
- Changes or unavailability imposed by the platform may affect the Service through no fault of Bido.
Acceptable use
By using the Service, you agree not to:
- Use the Service for unlawful or fraudulent purposes, or on behalf of third parties without authorization;
- Provide false identity, address or payment data, or use a payment instrument that is not yours or that you are not authorized to use;
- Attempt to manipulate the Agent (including via prompt injection) to obtain other users' data, undue advantages or behavior outside the Service's scope;
- Reverse engineer, scrape, probe or overload the Service, or run bots/automation against the Service outside the official interfaces;
- Resell, sublicense or use the Service to build a competing offering without an agreement with us;
- Circumvent security mechanisms, usage limits or authentication controls;
- Use the Service to acquire illegal products, age-restricted products without eligibility, or in violation of applicable sanctions and export controls.
We may suspend or terminate access in case of violation (§12), including refusing to execute purchases showing signs of fraud.
Warranties, disclaimers and liability
10.1. What we guarantee
- No payment without your explicit confirmation of the total cost;
- Charges limited to the amount you approved;
- End-to-end card tokenization — your full card data never passes through Bido or the AI model;
- Refund of any charge made without a corresponding confirmed order.
10.2. What we do not guarantee
The Service involves automation over third-party websites that change without notice. To the extent permitted by law, the Service is provided "as is" and we do not guarantee: that every requested purchase will be completed; that coupons will be accepted; the accuracy of prices and stock reported by the Merchant; or uninterrupted availability of the Service.
10.3. Limitation of liability
To the maximum extent permitted by law, Bido is not liable for indirect damages, loss of profits or loss of opportunity, nor for acts and omissions of Merchants and third-party platforms. Our total liability for events related to the Service is limited to the greater of (a) the amounts you paid Bido in the 12 months preceding the event and (b) USD 100.00.
Nothing in these Terms excludes or limits rights that applicable law does not allow to be excluded or limited — including non-waivable consumer rights under the law of your state of residence, and Bido's liability for defects in its own checkout-execution service.
Intellectual property and feedback
The Service, its technology (including the checkout execution engine), trademarks, interfaces and content are owned by Bido or its licensors. These Terms do not transfer any intellectual property right to you — only a personal, revocable, non-transferable license to use the Service.
Suggestions and feedback you send us may be freely used by Bido to improve the Service, with no obligation of compensation or attribution.
Suspension and termination
- By you — you may stop using the Service at any time and request deletion of your account and data (see Privacy Policy, §12);
- By us — we may suspend or terminate your access in case of violation of these Terms, well-founded suspicion of fraud, or legal requirement. Whenever reasonable, we will notify you and state the reason;
- Purchases already confirmed and in execution at the time of termination will be completed or refunded, as applicable.
API and Integrators
Programmatic access to Bido Checkout (API keys, usage limits, SLAs and commercial conditions) is governed by a specific agreement with the Integrator. These Terms apply to the end user; in case of conflict in the relationship with the Integrator, the API agreement prevails.
The Integrator is responsible for obtaining its users' authorizations and consents and for presenting these Terms to them when a purchase is executed by Bido.
Changes to these Terms
We may update these Terms from time to time. The current version is always published at:

Material changes will be communicated with reasonable advance notice — via a message in the channel on your next interaction and a prominent notice on the website. Continued use of the Service after the new version takes effect implies agreement; if you do not agree, simply stop using the Service and, if you wish, request account deletion.
General provisions
- Communications — we accept and send communications electronically, through the Channels themselves or the e-mail on your account;
- Assignment — you may not assign these Terms; Bido may assign them in a corporate transaction, with notice;
- Severability — the invalidity of one clause does not affect the others;
- No waiver — tolerance of a violation does not imply waiver of rights;
- Entire agreement — these Terms, the Privacy Policy and the Cookie Policy form the entire agreement between you and Bido regarding the Service.
Governing law and venue
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute will be submitted to the competent state or federal courts located in Delaware, USA, without prejudice to any non-waivable consumer rights under the law of your state of residence.
